REPORT FROM THE BOARD<\/b><\/span>
\nThe regular monthly meeting of the Board of Directors was held on 16 May 2023.\u00a0 The Annual Meeting of the Board was held immediately prior to the regular meeting (see Governance Committee section).<\/span><\/p>\n

CORRESPONDENCE<\/b><\/span>
\nAnnual Report to the Sponsor 2023<\/span><\/i><\/span> – During the Regular Board meeting, the Board Members completed together the <\/span>Annual Report to the Sponsor 2023<\/span><\/i>. This report is a yearly requirement from Catholic Health International. The collective responses will be sent to Catholic Health International by Administration.<\/span><\/p>\n

CORPORATE LIAISON\u2019S REPORT<\/b><\/span> – This year marks the 350th anniversary of Jeanne Mance\u2019s death. Specific events are being held to celebrate Jeanne Mance. A special program will be held at the Mus\u00e9e des Hospitali\u00e8res de l’H\u00f4tel-Dieu de Montr\u00e9al during the month of May\/June to recognize Jeanne Mance and her heritage. This program at the museum was organized in collaboration with the Religious Hospitallers of Saint Joseph.<\/span><\/p>\n

ADMINISTRATION REPORT<\/b><\/span>
\nMrs. Lafrance-Allaire\u2019s report included: Management Goals Year 2023-2024 (approved), Ministry of Long-Term Care (LTC) Inspection Report, Good News Item (Sister Rosalia Cobey Award ceremony was held on 26 April 2023 & the RHSJ Fund has a new operating name and logo) and Census Data. Also discussed:<\/span><\/p>\n

Policy Approval <\/span><\/span>
\nThe Board of Directors approved the following policies as reviewed\/presented:<\/span><\/p>\n

-Corporate Policy #3-a-30 re <\/span>Health and Safety Policy<\/span><\/i>
\n-Recreation – Therapy Services – Volunteers Policy #16-a-165 re <\/span>Reporting of Fitness to Drive<\/span><\/i>.<\/span><\/p>\n

The Board of Directors approved the report from Administration, including the Management Goals for 2023-2024.<\/span><\/p>\n

ETHICS AND MISSION COMMITTEE<\/b><\/span>
\nPolicies to Review\/Revise<\/span><\/span>
\nThe Board of Directors approved the following policies as reviewed:<\/span><\/p>\n

-Corporate Policy #3-a-22 re <\/span>Guidelines for Medical-Moral Consultations<\/span><\/i>
\n-Corporate Policy #3-a-24 re <\/span>Death with Dignity<\/span><\/i><\/p>\n

Standing Item: Annual Workplan<\/span><\/span> – Changes made to meeting dates.<\/span><\/p>\n

The Board of Directors approved the Ethics and Mission Committee Workplan as revised.<\/span><\/p>\n

COMPREHENSIVE PLANNING, FINANCE AND PERSONNEL RELATIONS COMMITTEE (CPFPRC)<\/b><\/span>
\nManagement Fiduciary Statement<\/span><\/i><\/span> – The <\/span>Management Fiduciary Statement for the month of March 2023 <\/span><\/i>was<\/span> approved by the Board of Directors.<\/span><\/p>\n

Statement of Administrative Responsibility<\/span><\/i><\/span> – Noted. This document will be sent to the <\/span>Members of the Corporation for information.<\/span><\/p>\n

Draft Audited Financial Statements<\/span><\/i><\/span> – The Audited Financial Statements for the Religious Hospitallers of St. Joseph of Cornwall, Ontario: St. Joseph\u2019s Villa; Hotel Dieu Hospital; and the Consolidated Statements for the Year Ended 31 March 2023 were presented and are recommended to the Members of the Corporation for approval.<\/span><\/p>\n

Audit Findings Report<\/span><\/i><\/span> – This document was approved by the Board of Directors and referred to the Members of the Corporation for information.<\/span><\/p>\n

PROFESSIONAL ADVISORY COMMITTEE<\/b><\/span>
\nPhysician Reapplications 2023<\/span><\/span> – Dr. Yitemben\u2019s Medical Staff reapplication has been reviewed by the PAC and was recommended for approval.<\/span><\/p>\n

The Board of Directors reappointed Dr. Yitemben to the Medical Staff for 2023 with the privileges previously held.<\/span><\/p>\n

GOVERNANCE COMMITTEE<\/b><\/span>
\nBoard Member \/ Committee Member \/ Officers Appointment<\/span><\/span> – In preparation for the Annual Meeting, the Committee made recommendations regarding appointment and reappointment of Directors including Officers (Mr.\u00a0Paul\u00a0Desnoyers, Chairperson, Mr.\u00a0Mathieu Despatie, Vice-chairperson and Ms. Elizabeth MacLennan, Secretary-Treasurer), Ex-officio Members, as well as changes to some Board Committees. These recommendations were subsequently recommended at the Annual Meeting to the Members of the Corporation for approval.<\/span><\/p>\n

Annual Reports<\/span><\/span> – Annual reports from the Chairperson, Executive Director, Medical Director of Long-Term Care, Chairperson of the Comprehensive Planning, Finance and Personnel Relations Committee, Chairperson of the Ethics and Mission Committee, Chairperson of the Quality Improvement \/ Safety Committee and Chairperson of the Public Relations and Branding Committee were presented, approved and forwarded to the Members of the Corporation.<\/span><\/p>\n

OTHER BUSINESS<\/b><\/span>
\nStanding Item: <\/span>Annual Workplan<\/span><\/i><\/span> – The workplan for the month of May was reviewed.<\/span><\/p>\n

Standing Item: Equity, Diversity and Inclusion (EDI) Update<\/span><\/span><\/p>\n
