{"id":3633,"date":"2023-08-18T11:38:03","date_gmt":"2023-08-18T15:38:03","guid":{"rendered":"https:\/\/www.sjccc.ca\/sjeng\/?p=3633"},"modified":"2023-08-18T11:39:37","modified_gmt":"2023-08-18T15:39:37","slug":"summary-of-the-june-2023-board-of-directors-meeting","status":"publish","type":"post","link":"https:\/\/www.sjccc.ca\/sjeng\/?p=3633","title":{"rendered":"Summary of the June 2023 Board of Directors Meeting"},"content":{"rendered":"<p><span style=\"color: #0f6394;\"><b>REPORT FROM THE BOARD<\/b><\/span><br \/>\n<span style=\"font-weight: 400;\">The regular monthly meeting of the Board of Directors was held on 27 June 2023.<\/span><\/p>\n<p><span style=\"color: #0f6394;\"><b>ADMINISTRATION REPORT<\/b><\/span><br \/>\n<span style=\"font-weight: 400;\">Mrs. Lafrance-Allaire\u2019s report included: Ministry of LTC Inspection Report, Accessibility for Ontarians with Disabilities Act, 2005 (AODA) &#8211; Desk Audit (desk audit is completed and SJCCC is 100% compliant), Good News Item (SJCCC residents participated in the Walk Weekend for the Alzheimer Society of Cornwall &amp; District) and Census Data. Also discussed:<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">LSAA Declaration of Compliance Resolution<\/span><\/span><span style=\"font-weight: 400;\"> \u2013 <\/span><i><span style=\"font-weight: 400;\">Schedule E <\/span><\/i><span style=\"font-weight: 400;\">re <\/span><i><span style=\"font-weight: 400;\">Form of Compliance Declaration <\/span><\/i><span style=\"font-weight: 400;\">is an annual requirement. There are two known exceptions indicated on Appendix 1.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">BPSA Attestation Forms A and C<\/span><\/span><span style=\"font-weight: 400;\"> \u2013 In accordance with the <\/span><i><span style=\"font-weight: 400;\">Broader Public Sector Accountability Act<\/span><\/i><span style=\"font-weight: 400;\">, an <\/span><i><span style=\"font-weight: 400;\">Attestation Form <\/span><\/i><span style=\"font-weight: 400;\">and supporting schedules must be filed with the Ministry.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">HSAA Article 8 \u2013 Form of Compliance Declaration<\/span><\/span><span style=\"font-weight: 400;\"> \u2013 <\/span><i><span style=\"font-weight: 400;\">HSAA Article 8 &#8211; Declaration of Compliance<\/span><\/i><span style=\"font-weight: 400;\"> form is an annual requirement under the HSAA, an agreement with the Ministry.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Board of Directors approved for signature the <\/span><i><span style=\"font-weight: 400;\">LSAA Declaration of Compliance, <\/span><\/i><span style=\"font-weight: 400;\">the<\/span> <span style=\"font-weight: 400;\">\u201c<\/span><i><span style=\"font-weight: 400;\">Appendix C \u2013 Attestation<\/span><\/i><span style=\"font-weight: 400;\"> (re Consultants) for 01 April 2022 to 31 March 2023\u201d and \u201c<\/span><i><span style=\"font-weight: 400;\">Schedule A to Attestation<\/span><\/i><span style=\"font-weight: 400;\">\u201d and the <\/span><i><span style=\"font-weight: 400;\">HSAA Article 8 \u2013 Declaration of Compliance <\/span><\/i><span style=\"font-weight: 400;\">form.<\/span><\/p>\n<p><span style=\"color: #0f6394;\"><b>ETHICS AND MISSION COMMITTEE<\/b><\/span><br \/>\n<span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Spiritual Care<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; The Ethics and Mission Committee brought to the Board\u2019s attention that Father Dumoulin will be celebrating his 50th anniversary as a Priest, and 20 years serving at St. Joseph\u2019s Continuing Care Centre this year. A congratulatory letter will be drafted and signed by Mr. Desnoyers on behalf of the Board.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: Annual Workplan<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; The Ethics and Mission Committee suggested that an optional meeting be added in June since the meetings in April and August are so far apart.\u00a0<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Board of Directors approved the workplan as revised.\u00a0<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Policies to Review\/Revise<\/span><\/span><br \/>\n<span style=\"font-weight: 400;\">The Board of Directors approved the following policies as reviewed:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">-Corporate Policy #3-a-26 re <\/span><i><span style=\"font-weight: 400;\">Guidelines for Use of Advance Directives for <\/span><\/i><i><span style=\"font-weight: 400;\">Healthcare Decisions<\/span><\/i><br \/>\n<span style=\"font-weight: 400;\">-Corporate Policy #3-a-28 re <\/span><i><span style=\"font-weight: 400;\">Guidelines for Care at End of Life<\/span><\/i><br \/>\n<span style=\"font-weight: 400;\">-Corporate Policy #3-a-29 re <\/span><i><span style=\"font-weight: 400;\">Guidelines Regarding Sexual Intimacy<\/span><\/i><\/p>\n<p><span style=\"color: #0f6394;\"><b>COMPREHENSIVE PLANNING, FINANCE AND PERSONNEL RELATIONS COMMITTEE (CPFPRC)<\/b><\/span><br \/>\n<span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Appointment of Auditors 2023-2024<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; KPMG<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><i><span style=\"font-weight: 400;\">Financial Statements<\/span><\/i><\/span><span style=\"font-weight: 400;\"> &#8211; The Board of Directors approved the <\/span><i><span style=\"font-weight: 400;\">Financial Statements for the Period Ending 30 April 2023 <\/span><\/i><span style=\"font-weight: 400;\">as presented.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><i><span style=\"font-weight: 400;\">Management Fiduciary Statement<\/span><\/i><\/span><span style=\"font-weight: 400;\"> &#8211; The Board of Directors approved the <\/span><i><span style=\"font-weight: 400;\">Management Fiduciary Statement for April 2023.<\/span><\/i><span style=\"font-weight: 400;\">\u00a0\u00a0\u00a0\u00a0<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Gym Update<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; An update on the construction of the new rehabilitation space was provided.<\/span><\/p>\n<p><span style=\"color: #0f6394;\"><b>GOVERNANCE COMMITTEE<\/b><\/span><br \/>\n<span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">AdvantAge Ontario On-Demand LTC Board Governance Training for Groups<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; The Board of Directors has agreed to purchase the subscription in September. The Board Members will have 365 days from the start date to access the course.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Board Vacancies<\/span><\/span><br \/>\n<span style=\"font-weight: 400;\">The Board of Directors recommended to the Members of the Corporation that Ms. Katie Michaud be appointed to the Board of Directors for a three-year term ending in 2024.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">There is one more vacant position on the Board of Directors that still needs to be filled. It was suggested to advertise in the church bulletins. Mrs. Lafrance-Allaire and Mrs. Robertson will reach out to the appropriate contacts.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Survey Results<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; Survey results were very favourable.<\/span><\/p>\n<p><span style=\"color: #0f6394;\"><b>PUBLIC RELATIONS AND BRANDING COMMITTEE<\/b><\/span><br \/>\n<span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Policy to revise<\/span> <\/span><br \/>\n<span style=\"font-weight: 400;\">The Board of Directors approved Board of Directors policy #2-a-40 re <\/span><i><span style=\"font-weight: 400;\">Public Relations and Branding Committee <\/span><\/i><span style=\"font-weight: 400;\">as revised. <\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: Annual Workplan<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; Remove the Auxiliary items from the Annual Work Plan.<\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Board of Directors approved the Public Relations and Branding Committee workplan as revised. <\/span><\/p>\n<p><span style=\"color: #0f6394;\"><b>OTHER BUSINESS<\/b><\/span><br \/>\n<span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: <\/span><i><span style=\"font-weight: 400;\">Annual Workplan<\/span><\/i><\/span><span style=\"font-weight: 400;\"> &#8211; The workplan for the month of June was reviewed.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: Equity, Diversity and Inclusion (EDI)<\/span><\/span><\/p>\n<ul>\n<li><span style=\"font-weight: 400;\">Self Reflection May 2023<\/span><\/li>\n<li>EDI and Spiritual Care Activity Log<\/li>\n<li><span style=\"font-family: Consolas, Monaco, monospace;\">EDI Calendar<\/span><\/li>\n<li><span style=\"font-family: Consolas, Monaco, monospace;\">2SLGBTQIA+ Inclusion Session &#8211; Diversity Cornwall &#8211; The Senior Team and Managers have participated in this Session virtually. The Board of Directors would be interested in participating in this session in person at SJCCC. This session will be booked in the fall.<\/span><\/li>\n<\/ul>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: Policies to be Reviewed by the Board of Directors<\/span><\/span><span style=\"font-weight: 400;\"> &#8211; Reviewed.<\/span> <span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Motion Needed to CHI &#8211; Resignations of Mrs. McEvoy-Robertson and Ms. Keays-Irving<\/span><\/span> <span style=\"font-weight: 400;\">The Board of Directors recommended to the Members of the Corporation that the resignations of Ms. Victoria Keays Irving and Mrs. Bernadine McEvoy-Robertson be accepted.<\/span><\/p>\n<p style=\"text-align: center;\"><span style=\"color: #0f6394;\"><b><i>The next regular Board of Directors meeting is scheduled for Tuesday, 05 September 2023 at 1200 hours via video conference due to COVID-19.<\/i><\/b><\/span><\/p>\n","protected":false},"excerpt":{"rendered":"<p>REPORT FROM THE BOARD The regular monthly meeting of the Board of Directors was held on 27 June 2023.
