{"id":4110,"date":"2025-02-21T13:18:41","date_gmt":"2025-02-21T18:18:41","guid":{"rendered":"https:\/\/www.sjccc.ca\/sjeng\/?p=4110"},"modified":"2025-04-23T13:31:35","modified_gmt":"2025-04-23T17:31:35","slug":"summary-of-the-february-2025-board-of-directors-meeting","status":"publish","type":"post","link":"https:\/\/www.sjccc.ca\/sjeng\/?p=4110","title":{"rendered":"Summary of the February 2025 Board of Directors meeting"},"content":{"rendered":"<p><span style=\"color: #000080;\"><b>REPORT FROM THE BOARD<\/b><\/span><\/p>\n<p><span style=\"font-weight: 400;\">The regular monthly meeting of the Board of Directors was held on 04 February 2025.<\/span><\/p>\n<p><span style=\"color: #000080;\"><b>BUSINESS ARISING FROM THE MINUTES<\/b><\/span><span style=\"font-weight: 400;\"> &#8211; Board of Directors Policy #2-a-4 re. <\/span><i><span style=\"font-weight: 400;\">Board of Directors\u00a0<\/span><\/i><i><span style=\"font-weight: 400;\">Conflict of Interest Disclosure<\/span><\/i><span style=\"font-weight: 400;\"> &#8211; <strong>DEFERRED.<\/strong><\/span><\/p>\n<p><span style=\"color: #000080;\"><b>CORRESPONDENCE<\/b><\/span><span style=\"font-weight: 400;\"> \u00a0<\/span><span style=\"font-weight: 400;\">Letter from family &#8211; Noted <\/span><\/p>\n<p><span style=\"font-weight: 400;\">Thank you Card &#8211; Noted<\/span><\/p>\n<p><span style=\"color: #000080;\"><b>ADMINISTRATION REPORT<\/b><\/span><\/p>\n<p><span style=\"font-weight: 400;\">Ms. Lafrance\u2019s report included: Strategic Direction: Ministry of Long-Term Care Inspection Report,\u00a0<\/span><span style=\"font-weight: 400;\">Management Goals &#8211; Q3 Update, Provincial Pre-Budget Preparations and Good News Item (a\u00a0<\/span><span style=\"font-weight: 400;\">breakfast &amp; tour at Hotel Dieu Hospital is scheduled for February 7th, 2025 along with 7 plaques\u00a0<\/span><span style=\"font-weight: 400;\">honouring our Sisters on each unit) and Census Data. Also discussed:<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Ministry of Long-Term Care Inspection Report<\/span><\/span><span style=\"font-weight: 400;\">&#8211; An Order was issued regarding SJCCC\u2019s Infection,\u00a0<\/span><span style=\"font-weight: 400;\">Prevention and Control program. The Public copy was received and shared. Actions that were taken in\u00a0<\/span><span style=\"font-weight: 400;\">response to the order included internal audits, checklists and in the moment education.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Policy Approval<\/span><span style=\"font-weight: 400;\">\u00a0<\/span><\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Board of Directors approved the following policies as reviewed\/revised:<\/span><\/p>\n<p><span style=\"font-weight: 400;\">&#8211;<\/span> <span style=\"font-weight: 400;\">Board of Directors Policy #2-a-6 re <\/span><i><span style=\"font-weight: 400;\">Orientation Programme for Board Members <\/span><\/i> <i><span style=\"font-weight: 400;\">and Members of Board Committees <\/span><\/i><\/p>\n<p><i><span style=\"font-weight: 400;\">&#8211; <\/span><\/i><span style=\"font-weight: 400;\">Corporate Policy #3-a-20 re <\/span><i><span style=\"font-weight: 400;\">Disagreement with a Physician\u2019s \/ Nurse Practitioner\u2019s Orders<\/span><\/i><\/p>\n<p><span style=\"font-weight: 400;\">&#8211; Corporate Policy #3-a-91 re <\/span><i><span style=\"font-weight: 400;\">Corporate Procurement Policy<\/span><\/i><\/p>\n<p><span style=\"font-weight: 400;\">&#8211; Corporate Policy #3-a-92 re <\/span><i><span style=\"font-weight: 400;\">Procurement Code of Ethics<\/span><\/i><\/p>\n<p><span style=\"color: #000080;\"><b>COMPREHENSIVE PLANNING, FINANCE AND PERSONNEL RELATIONS COMMITTEE <\/b><b>(CPFPRC)<\/b><\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><i><span style=\"font-weight: 400;\">Financial Statements<\/span><\/i><\/span><i><span style=\"font-weight: 400;\"> \u2013 The Board of Directors approved the Financial Statements for the Periods <\/span><\/i> <i><span style=\"font-weight: 400;\">Ending 30 November 2024 and 31 December 2024 as presented.<\/span><\/i><\/p>\n<p><span style=\"text-decoration: underline;\"><i><span style=\"font-weight: 400;\">Mortgage Renewal <\/span><\/i><\/span><i><span style=\"font-weight: 400;\">&#8211; <\/span><\/i><span style=\"font-weight: 400;\">The Board approved to move forward with the mortgage renewal of a 3 year term <\/span> <span style=\"font-weight: 400;\">at 5.18%.\u00a0<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><i><span style=\"font-weight: 400;\">Management Fiduciary Statements<\/span><\/i><\/span><span style=\"font-weight: 400;\"> &#8211; The Board of Directors approved the Management Fiduciary <\/span> <span style=\"font-weight: 400;\">Statements for November and December 2024.<\/span><\/p>\n<p><span style=\"color: #000080;\"><b>PROFESSIONAL ADVISORY COMMITTEE (PAC) REPORT<\/b><span style=\"font-weight: 400;\">\u00a0<\/span><\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Policy to Review<\/span><\/span><span style=\"font-weight: 400;\">\u00a0 &#8211; <\/span><span style=\"font-weight: 400;\">The Board of Directors approved Board of Directors policy #2-a-26 re <em>Professional Advisory <\/em><\/span><span style=\"font-weight: 400;\"><em>Committee<\/em> as revised.<\/span><\/p>\n<p><span style=\"color: #000080;\"><b>GOVERNANCE COMMITTEE<\/b><\/span><span style=\"font-weight: 400;\">\u00a0<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Appointment of Board Members to Committees<\/span><\/span><\/p>\n<p><span style=\"font-weight: 400;\">The Board of Directors have appointed<\/span> <span style=\"font-weight: 400;\">Steph Sanborn be appointed to the Quality Improvement and <\/span> <span style=\"font-weight: 400;\">Safety Committee and that Mrs. Chantal Tessier be appointed to the CPFPRC.\u00a0<\/span><\/p>\n<p><span style=\"color: #000080;\"><b>NEW BUSINESS<\/b><\/span><\/p>\n<p><span style=\"font-weight: 400;\"><span style=\"text-decoration: underline;\">Policy to Review<\/span> <\/span><span style=\"font-weight: 400;\">&#8211; Board of Directors policy #2-a-30 re. <\/span><i><span style=\"font-weight: 400;\">Directors\u2019\/Policy on Open Board Meetings<\/span><\/i><span style=\"font-weight: 400;\"> has <\/span> <span style=\"font-weight: 400;\">been approved as reviewed. <\/span><\/p>\n<p><span style=\"color: #000080;\"><b>OTHER BUSINESS<\/b><\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: <\/span><i><span style=\"font-weight: 400;\">Annual Workplan<\/span><\/i><\/span><span style=\"font-weight: 400;\"> &#8211; The workplan for the month of February was reviewed.<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: Equity, Diversity and Inclusion (EDI)<\/span><\/span><span style=\"font-weight: 400;\">\u00a0<\/span><\/p>\n<p><span style=\"text-decoration: underline;\"><span style=\"font-weight: 400;\">Standing Item: Policies to be Reviewed by the Board of Directors<\/span><\/span><span style=\"font-weight: 400;\"> &#8211;
