REPORT FROM THE BOARD<\/b><\/span><\/p>\n

The regular monthly meeting of the Board of Directors was held on 09 July 2025.<\/p>\n

BUSINESS ARISING FROM THE MINUTES<\/b> <\/span><\/p>\n

Membership Response re. Administrative Bylaws<\/span><\/span> – APPROVED (written)<\/span><\/p>\n

Strategic Planning Session date<\/span><\/span> – The Strategic planning session will be held at the Dev Hotel <\/span>and Conference Centre in Cornwall on 03 October 2025.<\/span><\/p>\n

Policy approval to reflect the changes in the new Bylaws<\/span><\/span> – The Board of Directors approved the following policies are revised:<\/span><\/p>\n

– Board of Directors policy #2-a-4 re. <\/span>Board of Directors Conflict of Interest Disclosure<\/span><\/i><\/p>\n

– Board of Directors policy #2-a-8 re. <\/span>Executive Committee<\/span><\/i><\/p>\n

– Board of Directors policy #2-a-15 re. <\/span>Ethics and Mission Committee\u00a0<\/span><\/i><\/p>\n

– Corporate policy #3-a-100 re.<\/span> Succession Planning<\/span><\/i> – <\/span>Executive Director<\/span><\/i><\/p>\n

Annual Workplans<\/span><\/span> – The Executive and the Ethics and Mission committee annual workplans have been amended to reflect the changes in the new Bylaws.<\/span><\/p>\n

ADMINISTRATION REPORT<\/b><\/span><\/p>\n

Ms. Lafrance\u2019s report included: Strategic Direction: HSAA Article 8 – Form of Compliance Declaration, Ministry of Long-Term Care Report and Good News Item (SJCCC welcomed new inductees into our annual 90\u2019s and 100\u2019s Club) and Census Data. Also discussed:<\/span><\/p>\n

Policy Approval<\/span><\/p>\n

The Board of Directors approved the following policies as revised<\/p>\n

– Corporate Policy #3-a-50 re. <\/span>French Language Services<\/span><\/i><\/p>\n

– Administrative Policy #4-a-164i re.<\/span> Job Description <\/span><\/i>– <\/span>Executive Director (St. Joseph\u2019s Villa)<\/span><\/i><\/p>\n

– <\/span><\/i>Administrative Policy #4-a-164ii re. <\/span>Job Description <\/span><\/i>– <\/span>Executive Director (Hotel Dieu Hospital)\u00a0<\/span><\/i><\/p>\n

EXECUTIVE COMMITTEE<\/b><\/span><\/p>\n

HSAA Article 8 – Form of Compliance Declaration<\/span><\/span> – <\/span>HSAA Article 8 \u2013 Declaration of Compliance\u00a0form is an annual requirement under the HSAA, an agreement with the Ministry.<\/p>\n

The Board of Directors approved for signature the HSAA Article 8 \u2013 Declaration of Compliance form.<\/p>\n

GOVERNANCE COMMITTEE<\/b><\/span><\/p>\n

Board of Directors vacancy<\/span> – Recruitment for a new member of Board of Directors will begin at the end of August and will be posted on the SJCCC website, Facebook and Church bulletins.<\/span><\/p>\n

PUBLIC RELATIONS AND BRANDING COMMITTEE<\/b><\/span><\/p>\n

Videos of the Centre<\/span> – Videos of the Centre and the rehabilitation space can be viewed on the website.<\/p>\n

Policy to revise and annual workplan<\/span> – The Board of Directors approved policy #2-a-40 re. Public Relations and Branding Committee<\/i> and the annual workplan for the Public Relations and Branding Committee with amended changes to reflect the new Bylaws.<\/em><\/span><\/p>\n

OTHER BUSINESS<\/b><\/span><\/p>\n

Standing Item: <\/span>Annual Workplan<\/span><\/i><\/span> – The workplan for the month of June was reviewed.<\/span><\/p>\n

Standing Item: Equity, Diversity and Inclusion (EDI)<\/span><\/span> – Ms. Lafrance shared a poster featuring a\u00a0<\/span>special Indigenous-inspired menu at the Centre.<\/span><\/p>\n

Standing Item: Policies to be Reviewed by the Board of Directors<\/span><\/span> – Reviewed<\/span><\/p>\n

The next regular Board of Directors meeting is scheduled for Tuesday, 02 September 2025<\/i><\/b> at 1200 hours via video conference.\u00a0<\/i><\/b> <\/span><\/p>\n
